Big Firm Sophistication. General Counsel Sensibility. Business-Driven Practicality.

Strategic Counsel Built in the Boardroom and the Trenches.

Lawyers should see around corners and clear the path forward, not clutter it with ambiguity.

My years in practice—as a Big Law attorney and General Counsel—plus time at a commercial bank while earning my MBA and law degree at night and as an EdTech founder—have taught me that business owners and executives want more than a list of legal risks. They need a trusted partner who listens, learns their business, and helps them make well-informed decisions.

I run a boutique solo practice that offers sound, thoughtful advice and pragmatic execution without corporate pretense or a Big Law price tag. I am at the vanguard of lawyers who use AI effectively to streamline the practice of law without compromising quality.

How I Help

Strategic legal counsel for companies, founders, and executives at every stage of growth.

01

Fractional General Counsel

When your company reaches a stage where legal questions arise daily, but a full-time General Counsel isn't practical, I step in. I get to know your team, your culture, and your goals—managing everything from contract flow to risk management to HR issues to fundraising with a steady, proactive hand.

02

Corporate Strategy & Commercial Agreements

Whether launching a new initiative or negotiating critical contracts, I help you evaluate them through legal and entrepreneurial lenses and focus on what matters most.

03

Trusted Advisor When Selling Your Business

Selling a business you've spent many years building is as personal as it is financial. I led the acquisition strategy for a high-growth company and, more recently, guided several long-time owners through successful exits. I protect your interests while keeping the transaction moving and focused on your goals and "must-haves."

04

Executive Employment & Career Advisory

Navigating executive compensation, employment contracts, or sensitive career transitions requires experience, empathy, and discretion. Having sat on both sides of the table, I provide executives with clear, pragmatic counsel to further their careers and navigate terminations.

Why This Practice

High-Stakes Experience for Growth-Minded Businesses

I

A Founder's Perspective

I've built and run my own company; I know what it feels like to balance operational stress, financial and legal risk, and strategic ambition. My guidance respects your bottom line.

II

Sound Judgment Over Legalese

My focus is on practical risk assessment. I don't write 20-page memos that end in "maybe." I provide clear, candid recommendations and actionable paths forward.

III

Direct Access & Scaled Resources

You deal directly with me. When a matter calls for niche specialization or extra horsepower, I bring in trusted, top-tier co-counsel from my professional network—giving you big-firm capabilities without paying for unnecessary overhead.

IV

Value-Aligned Fees

I believe legal fees should make complete sense relative to the value delivered. You get seasoned, high-stakes counsel at fair, transparent boutique rates.

About

Mark Moran

Mark Moran brings a rare perspective to his clients: the technical rigor of a New York City Big Law associate, the strategic mindset of a multi-time General Counsel, and the grit of a successful entrepreneur.

Throughout his career, Mark has served as the General Counsel of a publicly traded company, advised GCs of global corporations, led the legal strategy for a digital media firm through asset divestitures, and counseled scores of entrepreneurs and founders at crucial junctures.

His expertise isn't just interpreting the law; it's exercising the sound judgment needed to move a company forward.

Mark founded this practice to bridge the gap between expensive, impersonal large firms and the need for high-level, dedicated strategic counsel.

At his Big Law firm, other lawyers routinely asked Mark to find elusive information that even the law library could not. Later, Mark leveraged his research bona fides to launch SweetSearch, a search engine for students used by millions of students and school librarians worldwide. In these early days of the AI age, Mark is at the vanguard of lawyers who use AI effectively and efficiently to streamline the practice of law.
